How to negotiate with your document?

The Negotiation Module in AIREX is an advanced tool within the contract editor that helps users identify, apply, and resolve key negotiation points in contracts. It is a feature that enables users to apply specific negotiation points to a contract. These points help identify potential conflicts or areas for revision, ensuring contracts align with the user’s objectives. For example, if a contract includes provisions related to pets or noise levels, the module can pinpoint clauses that match—or fail to address—those negotiating points, prompting you to make necessary changes.

Key Features of the Negotiation Module

1. Searching for Negotiation Points

The module includes a search bar that lets you filter through a list of pre-defined negotiation points. For instance: Typing “pets” will filter the list to show negotiation points related to pet policies. This feature ensures that users can quickly find relevant points without scrolling through an extensive list.

2. Adding New Negotiation Points

If a desired negotiation point is not already listed, you can easily add it:

  • Click the Add Negotiation Point button.

  • Enter the point’s details, such as Test Negotiating Point, and save it.

  • The point is immediately added to the list and becomes available for use in any document.

Negotiation points are shared across all documents in the contract editor, meaning updates or new entries are automatically reflected everywhere.

3. Editing and Deleting Negotiation Points

The module offers the flexibility to modify or remove negotiation points:

Editing: Click on a negotiation point to update its details. Save the changes, and they will be applied across all documents.

Deleting: Select the point and click Delete to remove it from the list. These options ensure the module remains dynamic and tailored to your negotiation needs.

4. Applying Negotiation Points

To apply negotiation points to a contract:

  1. Select individual points or use the Select All button to apply multiple points simultaneously.

  2. Click Find Negotiations, and the module will scan the document to identify:

  • Clauses that conflict with the selected points.

  • Missing clauses that need to be added to meet the negotiation criteria.

This feature ensures that every critical point is addressed, streamlining the review process.

Once negotiation points are applied, they become part of the Review Tab, where detailed suggestions are provided:

1. Editing Existing Clauses

If the module finds a clause that partially meets the negotiation point but needs refinement, it will suggest edits. For example, if a clause mentions noise levels but does not specify a maximum decibel limit, the module might recommend updating it to include “60 decibels” for clarity.

2. Adding New Clauses

If a negotiation point is entirely missing from the contract, the module will suggest adding a new clause. For example, if the contract does not address pet policies, the module might recommend including a “No Pets Allowed” clause to meet your requirements.

Customizing the Review Process

The module allows users to review and implement suggestions interactively:

  • Accept Suggestions: Approve edits or additions to integrate them into the contract.

  • Deny Suggestions: Reject recommendations that do not align with your preferences.

This flexibility ensures that users maintain full control over the negotiation process.

Let’s consider a lease agreement with negotiation points for noise levels and pet policies:

  1. Add or select negotiation points for Noise Limits and Pet Policies.

  2. Apply these points using Find Negotiations.

  3. The module identifies:

  • A clause mentioning noise but lacking a specific decibel limit, recommending an edit to include “60 decibels.”

  • The absence of a clause on pets, suggesting the addition of a “No Pets Allowed” clause.

  1. Review the recommendations and accept or deny them based on your requirements.

The Negotiation Module simplifies contract management by:

  • Ensuring key points are addressed in every agreement.

  • Highlighting potential risks or conflicts.

  • Streamlining the review and editing process.

  • Enhancing collaboration by making negotiation points clear and actionable.

The Negotiation Module in AIREX is an invaluable tool for anyone involved in drafting or reviewing contracts. By automating the identification and resolution of negotiation points, it saves time, reduces errors, and ensures that agreements align with your objectives.
